2012 North Carolina Secretary of State Updates
SPEAKERS: NC Secretary of State Elaine Marshall and Deputy Securities Administrator David Massey

About the Speakers: In 1996, Secretary of State Elaine F. Marshall became the first woman ever elected to a statewide, executive branch office in North Carolina. Secretary Marshall was a member of the NC State Senate before rising to statewide office. She holds a B.S. in Home Economics from the University of Maryland and a law degree from Campbell University. She has received Honorary Doctorate Degrees from Campbell University, Lees-McRae College and Meredith College. Her work experiences include teaching Home Economics in the public school and community college systems, co-ownership of a book and gift store, establishing an interior decorating business and the private practice of law. Secretary Marshall has been very active in many civic groups in the areas of child welfare, women's issues, and agriculture and small town economic development.Since becoming Secretary of State, she has received numerous state and national awards for leadership in technology, government innovation, and women's leadership. These awards include:
·The North Carolina 4-H Lifetime Achievement Award;
·The Distinguished Attorney Award from the North Carolina Association of Women Attorneys -- a group that has only awarded this honor twice in its entire history;
·Induction into the Honor Society of Agriculture of N.C. State University;
·The Common Cause North Carolina Leadership in Government Award;
·The North Carolina Association of Educators’ Women’s Equality Award;
·The Delta Kappa Gamma Society’s Eta State Founders Award;
·The Lifetime Achievement Award for Women in Business by the Triangle Business Journal;
·The National Notary Association’s 2006 Achievement Award, and being named to National Notary Magazine's list of “The 50 Most Influential People in Notarization in the Last 50 Years”;
·Serving as President in 2007 of the National Electronic Commerce Coordinating Council, a think tank dedicated to bringing best technology practices into all levels of government across this country;
·Recognized as the leader in state Trademark protection by the US Chamber of Commerce, the International Anti-Counterfeiting Coalition, Underwriters Laboratories, and a variety of companies;
·And Secretary Marshall has even received an official “Gold Record” from the Recording Industry Association of America for her law enforcement work to protect Trademarked goods and patent holders.
She has five step-children and seven grandchildren.

David S. Massey is the North Carolina Deputy Securities Administrator, a position he has held since June, 1997. He previously served as General Counsel for the Department of the Secretary of State of North Carolina and as General Counsel for the North Carolina Securities Division, a division within the Department of the Secretary of State.  Mr. Massey has recently completed a term as President of the North American Securities Administrators Association (NASAA) and continues to serve on the Board of Directors. He has served on the Board since September of 2007; and has held the position of Treasurer as well as Chair of the Enforcement Section. Mr. Massey also serves as a member of the Financial Stability Oversight Council, which was established by the Dodd-Frank Wall Street Reform and Consumer Protection Act. The council is responsible for comprehensive oversight over the stability of our nation's financial system.  Mr. Massey received a Bachelor of Science degree in Business Administration from Atlantic Christian College in Wilson, N.C.; a Master's in Business Administration at East Carolina University at Greenville, N.C.; a Juris Doctor at Wake Forest University School of Law at Winston-Salem, NC; and a Master's in Law & Taxation from the Marshall-Wythe School of Law at the College of William & Mary.

About the Presentation: Elaine Marshall will greet the membership and along with David Massey discuss the following topics with the group:
Investment Advisor Switch- Mid-sized registered investment advisers who are currently registered with the Securities & Exchange Commission and manage assets less than $100 million are switching from SEC to NC regulation. How to you make the switch? How will this change impact your firm? What is the difference between federal vs. state regulation?
Coordinated Review Program- State-regulated advisers who operate in multiple states face regulation by a number of individual state regulators. The North American Securities Administrators Association (NAASA) has an “Investment Adviser Coordinated Review Program” (the “Program”) which provides a structure for the coordinated multi-state review and discussion of the registration materials filed by “switching” investment advisers.  Private Fund Advisers- The Dodd-Frank Wall Street Reform and Consumer Protection Act also impacts the need for advisers to “private funds” to register with the SEC or with a state regulator. Who is affected? What advisers are exempt?
Crowd Funding- Crowd Funding refers to the funding of investment projects by small donations, often through the medium of the Internet. Congress is currently considering legislation that would impact crowd funding.

In addition, Secretary Marshall and Mr. Massey will be addressing items such as:

Increases in the “Reg A” exemption that governs smaller securities offerings which qualified for simplified registration or an exemption.

Changes in amount of assets and number of shareholders that determine how publicly-held companies must report their finances

Updates on Rules for the General Solicitation on Private Securities Offerings

Proposed legislation for the “IPO on-ramp,” which would make it more affordable for qualifying companies to go public by providing a temporary reprieve from SEC provisions

Current initiatives of the NC Securities Division
